Terms of Service — Art Licensing (Pattern Library Only)

Scope of services

Charlotte Designs provides textile and surface pattern designs available for art licensing only. These Terms of Service apply exclusively to the licensing of digital pattern designs purchased from the Charlotte Designs pattern library.

⚠️ These terms do not apply to physical products, merchandise, or any other services offered by Charlotte Designs.

Clients may license:

  • Non-exclusive designs from the pattern library, or

  • Exclusive designs where stated

Custom design services are governed by separate written agreements.

Important usage restriction

Licensed artwork must not be used on medical scrubs, nursing uniforms, or healthcare-related apparel, whether non-exclusive or exclusive.

Licensing terms (pattern library purchases only)

Non-exclusive licences

When purchasing a non-exclusive design from the pattern library, clients are granted a temporary, non-exclusive licence to use the design on their products for a period of twenty-four (24) months.

  • Multiple clients may license and use the same non-exclusive design simultaneously.

  • After the 24-month period, clients may renew the licence to continue usage.

  • Copyright and ownership of all designs remain with Charlotte Designs at all times.

  • Clients may not claim ownership or register the designs as their own.

Exclusive licences

Where a design is sold under an exclusive licence, the design will be licensed to one brand only for a period of twenty-four (24) months.

  • During the licence term, the design will not be sold, licensed, or made available to any other party.

  • Upon expiry of the 24-month term, the licence may be renewed by mutual agreement.

  • Copyright remains with Charlotte Designs at all times.

Payment terms

  • All pattern library licences (non-exclusive and exclusive) must be paid for in full upfront before access to the design is granted.

  • For custom design services, a $50 non-refundable deposit is required before work commences, with the remaining balance due upon completion.

  • Payments are accepted in AUD via approved payment methods specified by Charlotte Designs.

Usage restrictions

  • Designs may be used only for the agreed purpose outlined in the applicable licence.

  • Clients may not resell, sublicense, share, or redistribute the designs in any form.

  • Any modifications, recolouring, or adaptations must be approved by Charlotte Designs prior to use.

Termination & breach

Charlotte Designs reserves the right to terminate a licence if a client breaches these terms.
In the event of termination, the client must immediately cease all use of the licensed design.
No refunds will be issued for terminated licences.

Limitation of liability

Charlotte Designs is not responsible for how clients apply licensed designs.
Clients are solely responsible for ensuring their products comply with all relevant laws, regulations, and industry standards.

Governing law

These Terms of Service are governed by the laws of Australia. Any disputes shall be resolved under Australian jurisdiction.

📝 By purchasing a textile or surface pattern design from the Charlotte Designs pattern library, the client confirms acceptance of these Terms of Service.
